The company has one or more managing directors. Several managing directors are authorized to represent the company as a whole; however, the meeting of shareholders may have the right to represent one or more managing directors alone. If only one managing director is appointed, he represents the company alone and is exempt from the restrictions of § 181 of the German Civil Code (BGB) in such a way that he is allowed to carry out legal transactions with himself in the name of the company or as a representative of a third party.
