The articles of association are amended in § 5 (capital stock), § 6 (management, representation). The company is represented by a managing director if he is the sole managing director or if the shareholders' meeting has authorized him for individual representation. In addition, the company is represented by two managing directors together or a managing director in common with a proxy. The shareholders' meeting can allow the managing directors to carry out legal transactions with themselves on their own behalf or as a representative of a third party (exemption from the restrictions of § 181 BGB). Mrs. Diane Schneider, 55743 Idar Associate Oberstein, is appointed for further managing director. She represents the company together with another managing director or in community with a procurator. Managing Director Manfred Schneider is authorized to represent individual persons. He is permitted to conduct legal transactions with himself in his own name or as a representative of a third party (exemption from the restrictions of § 181 BGB).
