Upon registration of Campina GmbH, Heilbronn, in the Commercial Register (HRB 7251) on 04. 04. 2000, the Company is converted into a limited liability company by resolution of the Annual General Meeting of 22. December 1999 in accordance with the provisions of the Transformation Act. (Not registered: Creditors of the Company are only entitled to security if they are notified in writing within six months of the date on which the entry of the Transformation into the Register of the registered office of the Company of which they are creditors is deemed to have been made public, if the reason and amount of their claim to security is not satisfied. However, creditors are only entitled to this right if they make it credible that the transformation of their claim will be jeopardised by the form-changing transformation.)

On December 22, 1999, the Annual General Meeting approved the amendment of § § 4, 15 para. 1 and the deletion of para. 5--7 of § 18 of the Articles of Association. Furthermore, the Annual General Meeting approved the conversion of the share capital to EURO and the increase of the share capital from 65 974 880.23 EUR by 11 446 509.77 EUR from company funds to 77 421 390, --- EUR with the corresponding amendment of § § § 4 para. 1 and 5 and 15 para. 1 of the Articles of Association. The same Annual General Meeting amended the authorization of the Executive Board of Directors, which had been determined by a resolution of July 19, 1995, to increase the share capital by up to 30 000 000, --- DM (authorized capital) until July 18, 2000, changing to EURO to 15 338 765.44 EUR and § 4 para. 5 of the Articles of Association. N. The general meeting of the shareholders on 26 August 1999 resolved to amend the company, the object of the company and the new version of the articles of association. The company is now called Benedikter Bauunternehmung GmbH.
The object of the company is now: Execution of all types of building and underground construction, as well as the trade in building materials of all kinds. The company is represented if there is only one managing director, by this alone, if several managing directors are appointed, by two managing directors jointly or by one managing director together with an authorised signatory. Michael Benedikter is no longer managing director. Bernhard Müller, born 27 July 1957, Freiberg a. N., is appointed managing director.
